Matterwise – Terms of Use (Kenya & Rest of Africa)

Welcome to Matterwise (matterwise.net). By accessing or using our website, software, training, or services, you agree to these Terms of Use. If you do not agree with any part of these terms, please stop using our platform immediately.


1. Introduction

Matterwise provides digital tools and services designed to help African law firms and professionals manage their work, protect client data, market their practices, and automate key processes. Our services include:

  • Practice management & CRM

  • Website development & hosting

  • Digital marketing

  • AI training & consultancy

  • Managed IT & cybersecurity support

These Terms form a legally binding agreement between you (“User,” “You”) and Matterwise (“We,” “Us”).


2. Eligibility

You confirm that:

  • You are 18 years or older (or of legal majority in your country).

  • You have authority to act on behalf of your law firm, organisation, or employer if accessing on their behalf.

  • You will use the platform in compliance with Kenyan law and the laws of your jurisdiction.

Matterwise is designed primarily for professionals and organisations within Africa.


3. Account Registration & Security

When creating an account:

  • Provide accurate and truthful information.

  • Keep your username and password secure.

  • You are responsible for all activity under your account.

If you suspect unauthorised access, notify us immediately.


4. Services Provided

Matterwise offers both software-based services (SaaS) and professional/consultancy services. These include:

  • CRM & workflow management tools

  • Website design, hosting, and maintenance

  • AI training (research, drafting, task automation)

  • Cybersecurity consultancy

  • Digital marketing & SEO

  • Support and onboarding services

We reserve the right to update, improve, or modify features to enhance the platform.


5. Acceptable Use

You agree NOT to:

  • Use Matterwise for illegal, harmful, misleading, or unethical activities.

  • Attempt to reverse engineer, copy, clone, or exploit our systems.

  • Upload harmful files, malware, or unauthorised content.

  • Disrupt or attempt to breach security, servers, or infrastructure.

Matterwise may suspend or terminate access if misuse is detected.


6. Data Protection & Confidentiality

Matterwise operates in compliance with:

  • Kenya Data Protection Act (DPA, 2019)

  • Relevant data protection laws across Africa

  • Industry best practices for confidentiality and cybersecurity

We process client data only to deliver the services you request.
You are responsible for ensuring your own clients’ data is shared lawfully and ethically.

7. Payments, Subscriptions & Billing

Some services are offered on a monthly or annual subscription basis.

By subscribing:

  • You authorise Matterwise to charge the indicated fees through our payment partners.

  • All fees are clearly stated before payment.

  • Subscriptions renew automatically unless cancelled.

  • Failure to pay may lead to suspension of services.

Custom development, consultancy, and marketing services may have separate contracts or invoices.

8. Intellectual Property

All content, software, branding, templates, training materials, and documentation provided by Matterwise remain our intellectual property unless stated otherwise.

You may not:

  • Copy

  • Redistribute

  • Resell

  • White-label

  • Or modify our tools without permission

Your own content (documents, data, client files) remains yours.


9. AI Usage Disclaimer

Matterwise provides AI-related training, tools, and integrations. While we aim for accuracy and reliability:

  • AI outputs may contain errors or require human review.

  • Users remain responsible for verifying facts, citations, and legal content.

  • We do not guarantee the correctness of AI-generated drafts or recommendations.

AI must be used ethically and within professional standards and laws of your jurisdiction.


10. Service Availability

We strive to keep the platform available at all times, but we do not guarantee:

  • Uninterrupted access

  • Zero downtime

  • Perfect performance

Maintenance, updates, or technical issues may temporarily limit access.


11. Limitation of Liability

To the fullest extent allowed by law, Matterwise is not liable for:

  • Loss of revenue, profits, or business

  • Loss of data

  • Errors resulting from misuse or incomplete information

  • Issues caused by third-party tools, plugins, or integrations

Our responsibility is limited to services directly provided and paid for.


12. Termination

We may suspend or terminate accounts for:

  • Breach of these terms

  • Non-payment

  • Misuse or abuse of the platform

You may close your account at any time by contacting support.


13. Governing Law

These Terms are governed by the laws of Kenya.
For users outside Kenya, you agree that any disputes will still be interpreted under Kenyan law unless otherwise required by your local statute.


14. Changes to These Terms

We may update these Terms from time to time.
When updated, the “Last Updated” date will change.
Continued use of Matterwise means you accept the revised Terms.
