Welcome to Matterwise (Kenya)! These Terms and Conditions set out the rules, responsibilities, and rights governing your use of the Matterwise platform. By accessing or using Matterwise, you agree to be bound by these terms. If you do not agree, please discontinue use.

1. Definitions

  • “Matterwise”: The legal practice management platform and related services provided under Matterwise Kenya.

  • “User”: Any individual or law firm accessing or using Matterwise.

  • “Subscription”: A paid access plan that enables full platform use.

  • “Content”: All data, files, text, or information uploaded or submitted by users.


2. User Accounts & Access

  • You must register an account to access most Matterwise features.

  • You agree to provide truthful and accurate information when registering.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • Matterwise reserves the right to suspend or terminate accounts that violate these terms or involve suspicious activity.


3. Acceptable Use of Matterwise

Matterwise is designed for lawful, professional use only. You agree not to:

  • Use the platform for illegal, unethical, or fraudulent purposes

  • Share confidential client data without legal basis or client consent

  • Upload malware, viruses, or malicious code

  • Attempt to gain unauthorized access to Matterwise’s infrastructure

  • Use bots, scripts, or automation to interact with the platform

  • Breach applicable Kenyan data privacy laws, including the Data Protection Act, 2019


4. Subscription & Payment Terms

  • Matterwise operates on a subscription model with monthly or annual plans.

  • Payments are due in advance based on your selected plan.

  • Refunds are subject to our Refund Policy.

  • Matterwise may revise pricing with advance notice to users.


5. Data Privacy & Security

  • Users retain full ownership of the data stored on Matterwise.

  • Matterwise implements technical and organizational safeguards to protect your data.

  • By using Matterwise, you consent to the processing and secure storage of your data in line with our Privacy Policy.

  • Matterwise does not sell or share your personal or client data with third parties without your consent.


6. Intellectual Property

  • All software, branding, designs, and content provided by Matterwise are protected under Kenyan and international copyright law.

  • Users are granted a non-exclusive, non-transferable license to use the platform solely for legal practice management.

  • You may not copy, resell, or alter Matterwise materials without written authorization.


7. Service Availability

  • Matterwise targets 99.9% uptime, but temporary disruptions may occur.

  • We are not liable for losses or damages caused by downtime.

  • Users will be informed in advance of scheduled maintenance whenever possible.


8. Termination of Service

Users may terminate their subscription at any time from their dashboard.
Matterwise reserves the right to suspend or close your account if you:

  • Breach these terms

  • Fail to make payment

  • Use the platform for illegal or unethical activity

Following termination, data may be retained for up to 2 years in line with legal requirements.


9. Disclaimer & Limitation of Liability

  • Matterwise provides software tools, not legal services.

  • We do not offer legal advice, representation, or guarantees on legal outcomes.

  • Matterwise is provided “as-is”, and we are not liable for:

    • Loss of data caused by user error

    • Business losses, legal disputes, or missed deadlines

    • Errors from third-party tools or integrations


10. Changes to These Terms

Matterwise may update these Terms from time to time.

  • Significant changes will be communicated via email or in-app alerts.

  • Continued use of the platform after updates implies acceptance of the revised terms.


11. Governing Law & Dispute Resolution

  • These terms are governed by the laws of Kenya.

  • Disputes will be resolved through mediation or arbitration, unless legal proceedings are required.

  • Users may escalate unresolved complaints to the Office of the Data Protection Commissioner (ODPC) or relevant legal authority.


12. Marketing Communications and Newsletters

By signing up for Matterwise, you consent to receive occasional:

  • Legal practice tips

  • System updates

  • Product news or marketing emails

You may unsubscribe at any time via email or your notification settings.
Note: You cannot opt out of essential system communications (e.g., billing alerts, security notices).
