1. Introduction

Matterwise is a legal practice management platform built to help lawyers and law firms in Kenya streamline their operations—manage clients, leads, documents, cases, payments, and more.
These Terms govern your use of the platform and form a legal agreement between you (the user) and Matterwise (Kenya).


2. User Eligibility

  • You must be 18 years or older, or of legal majority age in your jurisdiction.

  • You confirm that you have the legal authority to enter into binding agreements.

  • Matterwise is intended for professional use by lawyers, law firms, and their authorized staff.


3. Account Registration & Security

  • Provide accurate, truthful, and complete information during sign-up.

  • Keep your login credentials secure and confidential.

  • Notify Matterwise of any unauthorized access or suspicious activity.

  • Matterwise reserves the right to suspend or terminate accounts that violate these terms.


4. Acceptable Use Policy

When using Matterwise, you agree NOT to:

  • Engage in fraudulent, unethical, or illegal activity.

  • Share or expose confidential client data without legal consent.

  • Reverse-engineer, copy, or tamper with the platform’s source code.

  • Use bots or scripts to automate access or overload our systems.

  • Upload harmful files, including malware or viruses.

  • Breach any data protection laws including Kenya’s Data Protection Act or similar regulations.

Violation may lead to account suspension and legal action.


5. Client & Lead Data Responsibility

  • You are responsible for obtaining consent before storing client or lead data.

  • You must handle all legal data in compliance with Kenyan data laws.

  • Matterwise is not liable for misuse, mishandling, or loss of client data caused by users.

  • Use best practices to secure sensitive information.


6. Payments & Subscriptions

  • Matterwise is a subscription-based service with monthly or annual plans.

  • Payment failure may result in restricted access or suspension.

  • Refunds are handled according to our Refund Policy.

  • All pricing is displayed in Kenyan Shillings (KES) or USD where applicable.


7. Intellectual Property

  • All platform content, software, designs, and branding belong to Matterwise (Kenya).

  • Users are granted a non-exclusive, revocable license to use the platform.

  • You may not copy, sell, or distribute any part of Matterwise without written permission.


8. Data Privacy & Security

  • You agree to safeguard your client data when using Matterwise.

  • Do not disclose sensitive data without legal basis.

  • Matterwise processes user data only as described in our Privacy Policy and under Kenyan law.

  • We may analyze usage patterns to improve features, always in compliance with data privacy regulations.


9. Platform Availability

  • We strive for 99.9% uptime, but some downtime may occur due to maintenance or issues beyond our control.

  • Users will be informed of planned outages in advance.

  • Matterwise is not responsible for losses resulting from temporary service interruptions.


10. Account Termination

  • You may request to close your account at any time.

  • Matterwise may suspend or terminate your access for violating terms, misuse, or illegal activity.

  • After termination, your data will be retained for a limited time in line with Kenyan data retention policies and then securely deleted.


11. Disclaimer & Limitations of Liability

  • Matterwise is a tool, not a legal service provider.

  • We do not offer legal advice or representation.

  • Matterwise is provided “as-is” with no warranty.

  • We are not responsible for any losses, damages, or legal outcomes linked to use of the platform.


12. Changes to These Terms

  • Matterwise may update these Terms at any time.

  • We will notify users of any material changes via email, dashboard alerts, or our website.

  • Continued use of Matterwise indicates your acceptance of the revised terms.


13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Kenya.

  • Disputes shall be resolved through mediation, arbitration, or legal processes under Kenyan jurisdiction.
